These Terms of Service ("Terms") govern your access to and use of EasyMusic.AI and its related websites, applications, and services (the "Service"). The Service is operated by NETINNOVATE LTD ("EasyMusic", "we", "us", or "our"). By creating an account, purchasing a plan, or using the Service, you agree to these Terms.

These Terms are intended for users worldwide. Additional or mandatory rights under the laws of your country or region continue to apply where they cannot lawfully be excluded.

1. Eligibility and agreement
You must be legally capable of entering into a contract. If you are under the age of legal majority where you live, you may use the Service only with permission and supervision from a parent or legal guardian. If you use the Service for an organisation, you represent that you have authority to bind it.

2. Accounts and security
You must provide accurate account information and keep it current. You are responsible for activity performed through your account and for protecting your login credentials. You must notify us promptly at support@easymusic.ai if you suspect unauthorised access. You may not sell, transfer, share, or misuse an account.

3. The Service and AI-generated material
The Service provides AI-assisted music, audio, lyrics, voice, and related creator tools. Outputs are generated probabilistically and can contain errors, artefacts, or similarities to material generated for other users. We do not guarantee that an output is unique, factually accurate, suitable for a particular purpose, eligible for copyright protection, or free from all third-party claims.

Where we ourselves train or fine-tune a model using datasets other than User Content, we use material that we reasonably believe is in the public domain, appropriately licensed, or otherwise lawfully available for that purpose. Some features rely on third-party AI providers, whose model development and historical training data are controlled by those providers.

You are responsible for reviewing outputs and determining whether your intended use is lawful and appropriate. Features, models, credit costs, processing times, and technical limits may change as the Service develops. We will not materially reduce an already-paid plan without a reasonable basis or an appropriate remedy where required by law.

4. Plans, prices, payments, and automatic renewal
The current plan price, currency, billing period, included credits, taxes, and material restrictions are displayed before purchase. Payments are processed by Stripe or another payment provider identified at checkout. Payment providers may apply their own terms and privacy notices.

Subscriptions renew automatically for the billing period shown at checkout until cancelled. You authorise the applicable payment provider to charge the payment method on file at each renewal. You may cancel future renewal through the available account or billing portal, or by contacting support. Cancellation stops the next renewal but normally does not end access already paid for.

We may change prices for future billing periods. Where required, we will provide advance notice and an opportunity to cancel before the new price applies.

5. Credits
Credits are limited, non-transferable Service entitlements and are not money, stored value, or property. Credit allocation, usage, and expiry are described on the pricing and credits pages presented at purchase. Different tools and models may consume different numbers of credits. Failed generations may be restored or reviewed according to the Service rules in effect at the time.

Unused credits may expire at the end of their stated validity period. Expiry, cancellation, suspension, or refund does not affect any non-waivable right available under applicable law.

6. Cancellation, refunds, and statutory rights
Our voluntary refund rules are described in the Refund Policy. Cancelling renewal is different from requesting a refund: cancellation prevents future charges, while a refund concerns a charge already made.

Consumers may also have mandatory remedies if digital content or services are faulty, not supplied with reasonable care and skill, or not as described. Nothing in these Terms or the Refund Policy limits a right or remedy that cannot lawfully be excluded.

Consumers in the United Kingdom, European Economic Area, and certain other jurisdictions may have a statutory cooling-off or withdrawal right. Where permitted by law, that right may be lost for digital content after the consumer expressly requests immediate supply and acknowledges the resulting loss of the withdrawal right. For services begun during a cooling-off period at the consumer's express request, the consumer may be responsible for a proportionate amount already supplied. If the required consent or acknowledgement has not been obtained, the statutory right is not treated as waived merely because the Service was available immediately.

7. User content and licences
You retain the rights you hold in prompts, lyrics, audio, images, recordings, generated outputs, and other material you submit or create through the Service ("User Content"). You grant us and our service providers a worldwide, non-exclusive licence to host, reproduce, process, transmit, adapt, and display User Content only as reasonably necessary to provide your requested features, maintain and secure the Service, troubleshoot problems, provide support, comply with law, and enforce these Terms.

We do not use, and do not permit service providers acting on our behalf to use, User Content to train or fine-tune general-purpose, foundation, or third-party generative AI models. This restriction includes prompts, lyrics, audio, voice recordings, uploaded files, and generated outputs. It does not prevent temporary processing needed to produce the output you request, safety and abuse detection, or analysis of aggregated or de-identified operational metrics that do not contain User Content. We will obtain your separate, explicit opt-in consent before using User Content for any future model-training purpose.

You represent that you have all rights and permissions needed to submit User Content and to direct us to process it. You must not upload material that infringes intellectual property, privacy, publicity, confidentiality, or other rights.

8. Rights in outputs
Subject to these Terms and the plan shown at purchase, you may use outputs generated for you for the permitted personal or commercial purposes. As between you and EasyMusic, and to the extent legally permitted, we assign to you any rights we may hold in a paid-plan output upon receipt of the applicable payment. This does not transfer rights in the Service, models, software, trademarks, or third-party material.

Because laws governing AI-generated material vary, we do not promise that copyright or other exclusive rights arise in an output. You are responsible for clearance of names, likenesses, samples, trademarks, lyrics, or other protected elements used in or requested for an output.

9. Voice and voice-persona features
You may upload or record a voice only when it is your own voice or you have clear, documented authority from the speaker. You must not imitate, impersonate, deceive, or falsely imply endorsement by another person. Voice data may be sensitive or biometric information under some laws. Where required, we will rely on affirmative consent or another valid legal basis described in the Privacy Policy. We may require verification and may reject or remove voice material that presents legal, safety, or abuse risk.

10. Prohibited use
You must not use the Service to break the law; infringe rights; create fraud, malware, abuse, harassment, non-consensual sexual material, or deceptive impersonation; bypass security or credit controls; disrupt the Service; scrape or reverse engineer the Service except where law expressly permits it; resell accounts or credits; or use outputs or Service access to train a competing model except with our written permission.

11. Third-party services
The Service may depend on third-party infrastructure, AI providers, payment providers, authentication services, storage, and external links. Their availability and terms may affect particular features. We remain responsible for obligations that applicable law places on us, but we do not control independent third-party services.

12. Suspension and termination
We may restrict or suspend access where reasonably necessary to investigate fraud, security incidents, unlawful activity, infringement, payment failure, material breach, or risk to users or the Service. Where appropriate, we will provide notice and an opportunity to appeal or cure the issue. Serious or repeated violations may result in termination.

You may stop using the Service and request account deletion. We may retain limited information where required for transactions, disputes, fraud prevention, security, or legal compliance, as described in the Privacy Policy.

13. Disclaimers and liability
The Service is provided with reasonable care and skill. To the extent permitted by law, we do not guarantee uninterrupted availability or that every output will meet your expectations.

Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, wilful misconduct, or any liability or consumer remedy that cannot lawfully be excluded. Subject to those exceptions, neither party is liable for indirect or consequential loss that was not reasonably foreseeable. For business users only, our aggregate liability arising from the Service is limited to the amount paid by that user to us during the 12 months before the event giving rise to the claim.

14. Changes to these Terms
We may update these Terms for legal, security, operational, or Service changes. Material changes will be notified through the Service, by email, or by another reasonable method before they take effect where required. Changes do not retroactively remove accrued rights. If you do not agree to a material change, you may stop using the Service and cancel future renewal.

15. Governing law and disputes
These Terms are governed by the laws of England and Wales. The courts of England and Wales have jurisdiction, except that a consumer may rely on mandatory protections and bring a claim in any forum available under the non-waivable law of the consumer's country or region of residence.

Before starting formal proceedings, please contact support@easymusic.ai so that we can try to resolve the issue. This does not prevent either party from seeking urgent relief or using any statutory complaint, court, or dispute-resolution process.
