EasyMusic Terms of Service
These Terms of Service shall apply to all use of "EasyMusic" (the "Service") operated by EasyMusic Inc. (“EasyMusic”, “we”, “us”, “our”). Article 1 (Agreement) You must first carefully read the various explanations regarding the Service displayed on this website and agree to these Terms of Service before using the Service. The Service offers a free trial version and paid plans for the use of this service. If you are a minor, you must first have a legal guardian (such as a parent) carefully read these Terms of Service and obtain his or her consent before using the Service. Article 2 (User Accounts) In order for you to use the Service's free trial or paid version, please register a user account according to the procedure specified by EasyMusic. When registering your account, you must provide accurate information. In the free trial version, you will only be able to use certain features of the Service that we specify. You must not use the account of another person without the permission of EasyMusic. In addition, you must not allow other persons (or, if the user is a corporation, persons who do not belong to said corporation) to use your user account, nor must you transfer it, gift it, offer it as collateral or dispose of it in any other way. You are solely responsible for keeping your user account password confidential and secure. You are liable for any damage arising due to failure on your part to keep your password secure, erroneous use or use by a third party, etc., and EasyMusic assumes no responsibility whatsoever. If your password has been leaked to a third party, or if you suspect that your user account and password are being used by a third party, you must immediately notify EasyMusic of the fact and follow any instructions we may give you. In such case, EasyMusic will be able to suspend the user account and password as being a compromised user account and password. You are obligated to change your password regularly, and EasyMusic assumes no responsibility for any damage caused by your failing to fulfill this obligation. Article 3 (Use) You may use the Service after you have agreed to the contents of these Terms of Service. In the event that you intend to switch to the paid version during the free trial period under the preceding paragraph, please follow the procedure we specify. When you have switched to the paid version, these Terms of Service will apply. In the event of any illegal use of the service, EasyMusic maintains the right, in its sole discretion and without prior notice, to deny service, suspend accounts, or cancel the license to use any or all of EasyMusic's services. Any loss or harm suffered by the user as a result of account suspension or termination due to unlawful use is not our responsibility. Article 4 (Fee for using the service and Credits) 4.1 Subscription Plans and Fees The fee for use of the service shall be in accordance with the separately determined plans (https://easymusic.ai/pricing). EasyMusic offers the following subscription plans: (1) Monthly Plan: Subscription period of one (1) month (2) Quarterly Plan: Subscription period of three (3) months (3) Annual Plan: Subscription period of twelve (12) months For detailed refund policies, please refer to our Refund Policy. 4.2 Automatic Renewal Your payment to EasyMusic will automatically renew at the end of the applicable subscription period, unless you cancel your paid subscription before the end of the then-current subscription period. (1) For monthly plans, the payment is routinely renewed starting from the subscription starting date in increments of one month. (2) For quarterly plans, the payment is routinely renewed starting from the subscription starting date in increments of three months. (3) For annual plans, the payment automatically renews after the first year in one-year increments. Example: if you subscribe to a monthly plan on June 29, 2021, the payment will automatically renew on July 29, 2021. 4.3 Payment Methods Payment can be done by credit card, PayPal or any other payment method as shown in our subscription flow. 4.4 Credits System and Validity Period (1) Upon subscribing to a paid plan, you will receive credits that can be used to access the Service's features. The amount of credits provided depends on the plan you select. (2) Credits have a validity period that corresponds to your subscription plan: a) Monthly Plan: Credits are valid for one (1) month from the date of issuance b) Quarterly Plan: Credits are valid for three (3) months from the date of issuance c) Annual Plan: Credits are valid for twelve (12) months from the date of issuance (3) Upon expiration of the validity period, any unused credits will automatically expire and become void, and you will not be entitled to any refund or compensation for such expired credits. (4) Credits are non-transferable and may not be exchanged for cash or any other form of consideration. (5) Different AI model versions and service features consume different amounts of credits. The credit consumption rules for various services, including but not limited to different AI models, vocal separation, MP4 generation, WAV downloads, and other premium features, are detailed on our Credits Explanation page (https://easymusic.ai/credits-explanation). (6) The maximum number of songs that can be generated as described in each paid plan is calculated based on using only the basic song generation feature without utilizing any additional credit-consuming services. If you use other credit-consuming services such as vocal separation, MP4 generation, WAV downloads, or advanced AI models, your actual maximum number of generated songs will be reduced accordingly. (7) You acknowledge and agree that it is your sole responsibility to review and understand the credit consumption rules before using any service features. EasyMusic shall not be liable for any credit depletion or inability to generate the advertised maximum number of songs resulting from your use of additional credit-consuming services or your failure to understand the credit consumption rules. 4.5 Credit Preservation Upon Plan Upgrade (1) If you upgrade your subscription plan before your current credits expire, your remaining unused credits will be preserved and their validity period will be extended according to the new plan's validity period, calculated from the date of the upgrade. (2) Example: If you have a monthly plan with 50 unused credits that would expire on March 1, 2025, and you upgrade to an annual plan on February 15, 2025, your 50 unused credits will be preserved and their new expiration date will be February 15, 2026 (one year from the upgrade date). (3) Plan upgrades refer to switching from a shorter subscription period to a longer subscription period (e.g., monthly to quarterly, monthly to annual, or quarterly to annual) or switching to a higher-tier plan within the same subscription period. (4) Downgrading your plan (switching to a lower-tier plan or shorter subscription period) does not extend the validity period of existing credits. In such cases, existing credits will retain their original expiration date. 4.6 User Responsibility for Credit Management (1) You acknowledge and agree that it is your sole responsibility to: a) Monitor your credit balance and validity period b) Review and understand the credit consumption rules available at https://easymusic.ai/credits-explanation c) Track your usage of credit-consuming services d) Ensure sufficient credits are available before using any service features (2) EasyMusic does not provide notifications regarding credit expiration, credit balance, or credit consumption. You are solely responsible for managing your credits and planning your usage accordingly. (3) EasyMusic shall not be liable for any losses, damages, or inability to use services resulting from: a) Expired credits b) Insufficient credit balance c) Your failure to understand or review the credit consumption rules d) Your use of additional credit-consuming services that reduce the maximum number of songs you can generate e) Any other credit-related issues arising from your failure to monitor or manage your credits Article 5 (Service Description and Limitations) 5.1 The Service provides various features including but not limited to AI music generation, vocal separation, audio format conversion, and other related services. Each feature may consume different amounts of credits as specified in the Credits Explanation page. 5.2 The advertised number of songs that can be generated under each subscription plan represents the theoretical maximum number achievable if you use only the basic song generation feature with the default AI model and do not utilize any other credit-consuming services. 5.3 You acknowledge and agree that: (1) Using advanced AI models, premium features, or additional services (such as vocal separation, MP4 generation, WAV downloads, etc.) will consume additional credits beyond basic song generation. (2) The actual number of songs you can generate may be significantly less than the advertised maximum if you choose to use these additional credit-consuming services. (3) EasyMusic makes no guarantee that you will be able to generate the advertised maximum number of songs if you use any services other than basic song generation. (4) The credit consumption rates for different services and AI models are subject to change at EasyMusic's discretion, and such changes will be reflected on the Credits Explanation page. 5.4 It is your responsibility to plan your usage and allocate your credits according to your needs and preferences. EasyMusic shall not be liable for any dissatisfaction or inability to achieve expected results due to your credit allocation choices. Article 6 (Intellectual Property Rights, etc.) All intellectual property rights, such as the copyrights and trademark rights relating to the Service and the programs that constitute the Service, belong to EasyMusic. For users subscribed to a paid plan, the full ownership and copyright of the music created using the Service belongs to the user. If the paid plan includes a commercial license, EasyMusic imposes no restrictions on the use of the music, provided that such use complies with the user's local laws and regulations. Article 7 (Prohibited Acts) When using the Service, you must not engage in any acts that fall under, or are likely to fall under, those listed in the following items. (1) Acts of utilization of the Services for illicit purposes (2) Acts that infringe the intellectual property rights, portrait rights, publicity rights or other rights of other users, EasyMusic or other third parties (3) Acts that damage the reputation or credibility, or infringe the privacy, of other users, EasyMusic or other third parties (4) Acts leading to crimes such as fraud (5) Acts of transmission or provision of harmful software programs such as computer viruses, or encouragement of their use (6) Acts of alteration, adaptation, reverse engineering, decompilation or disassembly of the content, data and other software, etc., provided through the Service (7) Acts of falsification, deletion, or unauthorized diversion of the information of other users, EasyMusic or other third parties (8) Acts in violation of laws and regulations, these Terms of Service or public order and morals, or acts that promote, or are likely to promote, such violations (9) Acts of using the Service to entice other users or third parties to other websites (10) Acts that interfere with the operation of the Service (11) Acts of selling, distributing for free or sublicensing music itself created using the Service (this excludes videos and other products created using said music) (12) Downloading with external application (13) Acts of transferring, selling, gifting, or otherwise disposing of credits to third parties (14) Acts of manipulating, circumventing, or attempting to bypass the credits system or validity period restrictions (15) Other acts that EasyMusic deems inappropriate (16) It is forbidden to use output from the Service to develop models that compete with EasyMusic, such as training an AI model (17) Except as permitted through the API, using any automated or programmatic methods to extract data or output from the Service, including scraping, web harvesting, or web data extraction is forbidden EasyMusic may seek compensation for damages (including reasonable attorneys' fees and costs) from you if we incur any losses due to your breach of these Terms of Service. If you commit any of the prohibited acts under this article, EasyMusic may suspend your user account and forfeit any remaining credits without refund. Article 8 (Suspension of the Service) EasyMusic shall be able to suspend the operation of all or part of the Service for any of the following reasons, and we assume no liability for any losses you may incur due to such suspension, except in cases where such losses are due to our willful default or gross negligence. (1) When carrying out maintenance or inspection of the equipment and systems required to provide the Service (2) When operating the Service is difficult due to fire, blackout, earthquake, natural disaster or system failure, etc. (3) Additionally, when it is necessary to temporarily suspend provision of the Service for operational or technical reasons, or when EasyMusic determines suspension is unavoidable Article 9 (Scope of our Liability) EasyMusic makes no guarantees that you will not incur loss or damage, caused by harmful programs such as computer viruses, when using the Service. EasyMusic shall not warrant the operation of any equipment, software, or system (including those provided by third parties) used by the User when using the Services. In addition, we will not respond to malfunctions in equipment, software, or systems provided by third parties. EasyMusic shall not indemnify the User for any loss of profits, indirect damages, special damages, extended damages, attorney's fees or other damages not stipulated in this Article, unless EasyMusic is willful or gross negligence on our part. Provided, however, that the Company shall not be liable for any damage caused by a failure of the equipment, software, or system provided by a third party. Article 10 (Changes to the Terms of Service) EasyMusic shall be able to change these Terms of Service without notifying you in advance or obtaining your consent. Whenever changes are made, you must carefully read the contents of these Terms of Service before using the Service. By using the Service after the changes specified in paragraph 1 have been made, you shall be deemed to have accepted such changes. EasyMusic assumes no responsibility for any losses you may incur arising, directly or indirectly, as a result of your not having carefully read these Terms of Service, irrespective of the details or form. EasyMusic assumes no responsibility for any losses you may incur due to changes to, or discontinuance of, these Terms of Service, except in cases where such losses are due to our willful default or gross negligence. Article 11 (Termination of the Service and Account Cancellation) 11.1 Service Termination by EasyMusic EasyMusic shall be able to terminate the Service without advance notice. EasyMusic assumes no liability to you or any third party for damages of any kind that you or a third party may incur arising, directly or indirectly, as a result of the termination of the Service, irrespective of the details or form. 11.2 Subscription Cancellation by User You may cancel your subscription at any time in accordance with the procedures specified by EasyMusic. Canceling your subscription means that your subscription will not automatically renew at the end of the current subscription period. When you cancel your subscription: (1) Your existing credits will remain valid and continue to be usable until their original expiration date as determined by your subscription plan validity period. (2) You will retain access to all paid features until the end of your current subscription period. (3) After the current subscription period ends, your account will be downgraded to the free trial version (if available), but any remaining credits will continue to be valid until their original expiration date. (4) No refund will be provided for the unused portion of your subscription period or for any unused credits. 11.3 Refunds and Credit Forfeiture If you request and receive a refund in accordance with our Refund Policy: (1) Any remaining credits associated with the refunded subscription will immediately expire and become void. (2) You will lose access to all paid features immediately upon processing of the refund. (3) Any content or music generated using the refunded subscription may be subject to restrictions as specified in our Refund Policy. 11.4 Account Termination by User If you choose to permanently terminate your account: (1) All your data, including generated music, account information, and remaining credits, will be permanently deleted. (2) This action is irreversible and you will not be entitled to any refund or compensation for unused credits or subscription time. Article 12 (Effect of Provisions) Even in the event that certain provisions of these Terms of Service are deemed to be invalid based on laws and regulations, the provisions other than the invalid provisions in question shall remain in effect. Even in the event that certain provisions of these Terms of Service are invalidated or canceled with respect to a particular user, these Terms of Service shall remain valid with respect to other users. Article 13 (Governing Law and Jurisdiction) The interpretation and application of these Terms of Service shall be governed by the laws of Japan. All disputes, controversies, or differences of opinion between you and EasyMusic arising out of or in relation to these Terms of Service shall be settled finally by arbitration in Tokyo, in accordance with the commercial mediation rules of the Japan Commercial Arbitration Association. Article 14 (Withdrawal Right) The right of withdrawal is a right that allows European consumers to withdraw from their contract within 14 days of its effective date. Because you can immediately enjoy our service after subscribing to any of our plans, we do not offer a right of withdrawal. Although EasyMusic does not offer a right of withdrawal in any European country, you can cancel at any time as explained in this Terms of Service. The law requires us to inform you that you do not have a right of withdrawal. To this end, when our customers subscribe to any of our plans in any European country they acknowledge that they lose their right of withdrawal. Acknowledging that you lose your right of withdrawal will not affect any of your other rights as a consumer and will not affect your ability to cancel your subscription at any time.
